Legal Staff/Real Estate
The candidate will be responsible for managing day-to-day lease obligations, asset management functions, contributing to the monthly Real Estate Committee ("REC") process and documenting the terms of decisions made at the REC meetings, protecting lease rights and maintaining relationships with internal and external customers. Will work with many cross-functional internal business partners in Development, Operations, Accounting and Legal and external business partners in property ownership and management. Prepare and maintain accurate reports to identify all Asset Management issues, including an Urgent Report containing all upcoming Asset Issues in the next 36 months, detailing each asset issue. If the lease has not already been abstracted, compile a thorough abstract to determine all non-favorable provisions or current deficiencies and prepare a detailed memo of explanation. Identify the Landlord affiliation and update any corresponding schedules related thereto. Prepare a timeline, detailing the milestones to timely handle the disposition of the asset Issue. Prepare an Asset Proposal, analyzing the current financial condition of the store with past, present and forecasted sales and income and total effective rent through the end of the current term and compare this to the projected total effective rent during the upcoming period under consideration. Distribute to appropriate Real Estate Director, Supervisor and Senior Director of R.E. Administration. Prepare updates on the status of each Asset Proposal incorporating the recommendations from the Real Estate Directors to present to EVP in monthly Asset Management Meetings. Prepare and update material required for monthly REC meetings based on recommendations from field R.E. Director and calculate savings on all lease modifications related thereto. Draft and distribute all legal documents required to finalize asset issues based on REC approvals. Serve as liaison between the R.E. Director and Landlord throughout the document review process and mutual execution as required. Prepare package for final document execution and secure all necessary approvals related thereto. Track timely the status of all deals in process from inception through completion, including responsibility for securing any necessary date extensions related to option notice dates and confirmation of delivery on courier or postal items requiring proof of receipt. Index completed documents and distribute as required. Update corresponding schedules and databases with all revised terms due to option notice date extensions and any other resulting lease modifications. Research legal documents related to ownership change matters and secure any missing backup data. Confirm Notice Address and Remittance Address and all other requests for address modifications prior to accepting. Prepare index and distribute copies to the Document Administrator and to Lease Expense Group. Request issuance of Certificate of Insurance. Update databases with resulting modifications, including any landlord affiliations. Store and Lease Surveys (Estoppels and Field Surveys). Review Lease Agreement for Co-Tenant requirements, Exclusives, Non-Construct Areas and Prohibited Uses. Maintain Access database for all items referenced above. Prepare and distribute Field Survey and Maintenance Survey. Evaluate survey results for lease violations and alert corresponding R.E. Director of any violations noted. Serve legal notification of demand for cure if R.E. Director has authorized. Consolidate information obtained from surveys and forward to Legal Department. Obtain store's requirements and confirm with District Manager what type of storage is needed and verify whether the Lease Agreement provides for storage trailer use. Review history of prior storage use and determine equitable rates for current needs based on prior costs. Seek the necessary approval from Operations to proceed with negotiations. Contact property owner and negotiate and finalize a License Agreement for temporary use. Relay all information to Lease Expense Group to schedule payments per the agreement. Monitor contract expiration, surrender dates and security deposit refunds as applicable. Seek reimbursement as applicable. Coordinate with Store Planning and landlord during remodel process to secure required storage. Store closings and lease terminations, budgeting, and special projects. Prior to closing prepare a Notice of Store/Facility Closing or Termination Form and review lease for rights to hold a liquidation sale. Address all outstanding issues with the Landlord. Assist construction in removal of signs as required. Prepare annual Rent Budgets and all corresponding schedules required to support variances for new Fiscal year. Reforecast annual Rent Budgets and update all corresponding schedules mid-year, as required. Negotiate and document License Agreements to temporarily sublease excess space and administer subtenant billings and collections. Assist Field Directors and Legal Department with lease research, landlord requests and other review projects. Prepare Closed Store Reserve analysis. Prepare the annual Total Effective Rent ("TER") analysis. Assist in preparation for and attend annual Real Estate Meetings. When new Lease, Sublease or Amendment and Modification documents are finalized, review and abstract information into database. Create and maintain reports and related databases reflecting all critical dates. Determine if Landlord claimed defaults are legitimate per the terms of the Lease and coordinate curing default in a timely manner. Research potential Landlord defaults, document and communicate to Landlord and pursue resolution. Enforce Co-tenancy and exclusive lease provisions and update all corresponding schedules and database functions. Negotiate with landlords to obtain additional store signage rights, obtain appropriate internal and external approvals, process CANs, negotiate contracts and coordinate the fabrication and installation process with R.E. Construction personnel. Communicate uncooperative Landlord relations to R.E. Director for leverage with future deals/affiliations. Research and review governmental ordinances and code compliance requirements for storage, compactors, sidewalk sales and other regulated matters and manage the variance and permit process to maintain or obtain rights.candidate should have a Bachelor's Degree, or equivalent experience. Professional certifications (RPA or CPM or Paralegal) required. Should have 5+ years of related job experience, preferably within the retail industry and/or corporate real estate level setting. Lease Compliance, Property Management or Paralegal experience is required. Excellent verbal and written communications skills required. Knowledge of Business, Law and/or Real Estate is required.
