Legal Staff
Duties: Manages and facilitates the Network internal contract approval process and serves as the system administrator for the web-based contracting and approval system. Provides support to executive team on the development, review, and management of all contracts. Performs paralegal work of varying scope and complexity; and performs related administrative support work as required. Reviews all proposed physician contracts for compliance with the organisation's Physician Contracting Policy as well as: a. Verifies all submissions are complete. b. Reviews the business case, fair market value analysis, community need (as applicable), operating pro forma (as needed) to validate the analysis is accurate and supported as well as ensure true need for services. c. Seeks clarity or asks for additional information when needed. d. Schedules and manages meetings with the Senior Leadership Group to discuss complex arrangements. e. Assists in reviewing the organisation's Physician Contracting Policy on a regular basis providing input for the organisation. Audits and monitors areas related to physician contracting either individually or as a joint effort with internal or external auditors. Collaborates with CRO related to any Ethics Point reports related to physician contracts. Provides support to the Compliance Department and management related to initiation of contracting process. Prepares drafts of legal documents for legal review (contracts, resolutions, physician transaction review summaries). Completes routine contracts using the organisation's approved templates and makes recommendations regarding revisions for legal review. Participates in the development, review, revision, education, and implementation of contract management policies and procedures. Provides system-wide and one-on-one training and education as well as works to create tools and resources for the Network. Serves as a subject matter expert and resource for facilities or entities to ask questions and seek guidance. Creates and provides system-wide training. Identifies trouble areas and targets opportunities for additional specialized group or one-on-one training. Creates tools or makes tools available to aid in fair market value analysis and community need. Monitors the process and continually seeks feedback and strives for process improvement. Tracks data and sends reports. Sets up new user accounts, disables users, changes e-mail addresses, resets passwords. Provides assistance with corporate responsibility program projects, auditing, monitoring and corrective action. Conducts investigations as appropriate under the supervision of the Corporate Responsibility Officer and/or legal counsel. Assist in developing training material as directed by Corporate Responsibility Officer. Coordinate appointments and events and follow-up as needed. Compose, type, and prepare correspondence, internal and external letters, minutes, special reports, projects, and other related items. Coordinate preparation of meeting agenda, minutes, and materials. Participates in departmental projects in order to enhance department efficiency, systems, education, or personal growth. Perform responsibilities accurately, efficiently, and exercise prudence regarding issues of a sensitive or confidential nature. Demonstrate ability to problem solve, trouble shoot, and make prudent decisions. Demonstrate knowledge and appropriate use of word processing, spreadsheet applications, and power point presentations including an emphasis on appropriate use and application of spelling, punctuation, and grammar.
